                          Appointment of New Directors


Brainspark announces the appointment of two new directors effective today.
Professor Francesco Gardin (aged 48) rejoins the Board as Chief Executive
Officer (having stepped down as a director on 29 October 2002 immediately prior
to the Infusion transaction) and Edward Burman (aged 55) also joins the Board.

Professor Francesco Gardin

Professor Gardin is also chief executive officer and Chairman of AISoftware SpA,
which he founded in 1983 and which went public on NASDAQ Europe in 1999 and the
Milan Stock Exchange in 2000. AISoftware develops and distributes artificial
intelligence and software systems. Prior to founding AISoftware, Professor
Gardin was employed by the Italian National Research Council, and was then
Coordinator of the Artificial Intelligence Laboratory at the European Union
Research Centre in Ispra, Italy.

Professor Gardin is a graduate in Theoretical Physics from Padova University and
held a research fellowship at Exeter University in the UK. Since 1984, he has
been Associate Professor at Udine, Milano and Siena University lecturing in
Artificial Intelligence, Man-Machine Interaction and related topics.

Mr Edward Burman

Edward Burman is a director of Ambrosetti Stern Stewart Italy and is responsible
for the E-Service area which provides consulting programs on the use of Internet
for e-commerce and e-business. He is Professor of the new e-business course in
the Economics division at the University of Bologna.

Previously, Mr Burman has carried out consulting and training programs for
Euroteam (an organization providing major European telecommunications companies
with training programs) and for the Scuola Superiore Guglielmo Reiss Romoli (a
company in the Telecom Italia Group that provides continuous updating of top and
middle management). Between 1994 and 2000 he lectured at the Canterbury Business
School of the University of Kent and he is currently a lecturer at Henley
Management College (UK).

Neither Professor Gardin nor Mr Burman has:

(i)         any unspent convictions in relation to indictable offences;

(ii)        been declared bankrupt or made any individual voluntary arrangements
with creditors;

(iii)       been a director with an executive function of any company which has
been involved in receivership, compulsory liquidation, creditors' voluntary
liquidation, administration, company voluntary arrangement, or any composition
or arrangement with its creditors generally or any class of its creditors,
either at the time or within the 12 months preceding such events;

(iv)       been a partner of any partnership which has been involved in
compulsory liquidation, administration, or partnership voluntary arrangement,
either at the time or within the 12 months preceding such event;

(v)        been subject to the receivership of a personal asset or a partnership
asset where he was a partner either at the time of within the 12 months
preceding such event;

(vi)       been subject to any public criticism by statutory or regulatory
authorities (including recognised professional bodies); or

(vii)      been disqualified by a court from acting as a director of a company
or from acting in the management or conduct of the affairs of any company.
