THE RANK GROUP Plc ('the Company')
EMPLOYEE BENEFIT TRUST ('the Trust')
The Trustees of the Trust, established under a trust deed dated 4 October 1996,
have transferred a total of 37,794 Ordinary shares in the Company pursuant to
the exercise of options under the Company's Long Term Incentive Plan. The
transfers, both of which were at nil value and took place on 4 February 2000,
were in respect of 18,897 Ordinary shares to each of Mr Nigel Turnbull and Mr
Douglas Yates.
As the Trust is a discretionary trust, all executive Directors of the Company
are deemed to be interested in the shares held by the Trust. We therefore
advise that the remaining executive Directors of the Company, being members of
the class of potential beneficiaries, are now interested in a total of 352,206
Ordinary shares of 10p each in the Company held by the Trustees.
