- Notification of Major Interest in Shares

The Goldman Sachs Group, Inc.

On 2 June 2008, the Company received notification from The Goldman Sachs Group, Inc. ('GS Inc') (under the obligations imposed by Section DTR5 of the FSA's Disclosure & Transparency Rules) that, as at 29 May 2008, GS Inc had a notifiable interest in the voting rights attached to 47,268,625 Ordinary 13 8/9p shares representing 12.10% of the total voting rights in The Rank Group Plc.

Notes

Indirect Interest (i.e. as custodian for its customers):

The interest in 46,444,287 shares (11.89% of the Company's total voting rights) arose from an interest held by Goldman, Sachs & Co., a wholly-owned direct subsidiary of GS Inc, acting as custodian for its customers. These shares are, or will be, registered in the name of Goldman Sachs Securities (Nominees), Limited.

Direct Interest (i.e. proprietary ownership):

b) The interest in 824,338 shares (0.21% of the Company's total voting rights) arose from a beneficial interest held by Goldman Sachs International, a wholly-owned indirect subsidiary of GS Inc. These shares are, or will be, registered at CREST in account CREPTEMP.
