- Notification of Major Interest in Shares

On 24 November 2006, the Company received notification from
Devon County Council, under the obligations imposed by Sections 198 to 202 of
the Companies Act 1985 that, as at 22 November 2006, it had a notifiable
interest in 16,442,066 Ordinary 10p shares of The Rank Group Plc (registered, or
to be registered in the names set out in the Schedule below) representing 3.04%
of the issued share capital of The Rank Group Plc.

The County Council does not have a direct holding in the above-mentioned shares
but is an interested party by virtue of its relationship with Hermes Focus Asset
Management Limited.
