DISPOSAL OF RANK ENTERTAINMENT TO NORTHERN LEISURE PLC
The Rank Group Plc ('Rank') announces the sale of its nightscene
operations, Rank Entertainment Limited ('Rank Entertainment'),
to Northern Leisure Plc ('Northern Leisure') for a consideration
of #150 million.
Certain third party liabilities within Rank Entertainment, which
principally relate to the completion of new units, will be for
Rank's account resulting in net cash proceeds of approximately
#140 million. The consideration may be subject to completion
adjustments.
The completion of the sale is conditional, inter alia, on the
approval of Northern Leisure shareholders at an extraordinary
general meeting on 11 November 1999.
Rank will use the cash proceeds from the sale to reduce existing
Rank Group debt.
Rank Entertainment currently operates 35 nightclubs, 9 Jumpin'
Jaks, 6 Hotshots and 3 ancillary leisure operations. Since 1
January 1999 Rank has sold or closed 15 units and has opened 4
units. A further 3 units will be opened shortly. For the year
to 31 December 1998, Rank Entertainment's turnover relating to
the units being acquired by Northern Leisure was #74.0 million
and operating profit before exceptional items was #11.0 million.
At 31 December 1998 Rank Entertainment had net assets of #129.9
million. On 16 September 1999 Rank Entertainment paid a
dividend of #60 million to Rank.
