- Notification of Voting Rights and Capital

In conformity with the Transparency Directive's transitional provision six, the
Company would like to notify the market of the following:

At the date of this announcement, the Issued Share Capital of The Rank Group Plc
is 542,340,107 Ordinary 10p Shares with voting rights.

There are no shares held in Treasury.

Therefore, the total number of voting rights in the Rank Group Plc is
542,340,107.

The above figure may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, The Rank Group Plc under the
FSA's Disclosure and Transparency Rules.
