Rathbone Brothers Plc ('Rathbones' or 'the Company') announces that it has today
entered into an arrangement, conditional inter alia on admission, to place
426,243 new ordinary shares of 5 pence each ('New Ordinary Shares') at 635 pence
per share ('the Placing'), to raise approximately £2.7 million before expenses.
The new ordinary shares represent 1.1 per cent of the Company's existing issued
share capital, and will rank pari passu in all respects with all other existing
issued Rathbones ordinary shares.
The placing price represents a discount of approximately 3.4 per cent to the
mid-market price of 657.5 pence when the placing was arranged. Application has
been made for the New Ordinary Shares to be admitted to the London Stock
Exchange. It is expected that admission will take place on 12 September 2003.
The net proceeds of the Placing will be used to fund the deferred consideration
payable following the 2002 acquisition of Galsworthy & Stones.
