Discharging Managerial Responsibility ('PDMR')


On 19 September 2006 the following directors and PDMRs exercised share options
over Rathbone Brothers Plc Ordinary Shares of 5p granted under the Rathbone
Executive Share Option Scheme 2000. The market value at exercise was £11.60
being the closing mid market price on 18 September 2006. The shares allotted
