Responsibility ('PDMR')


On 25 April 2006 the following directors and PDMRs exercised share options over
Rathbone Brothers Plc Ordinary Shares of 5p granted under the Rathbone Employee
Share Option Schemes 1993 and 1996 and the Rathbone Executive Share Option
Scheme 2000. The market value at exercise was £11.79 being the closing mid
market price on 24 April 2006. The shares allotted were registered in the name
of Rathbone Nominees Limited. Details are set out below.
