Notification of dealing by Directors and Persons Discharging Managerial
Responsibility ('PDMR')


On 28 March 2008 the following PDMRs exercised share options over Rathbone
Brothers Plc Ordinary Shares of 5p granted under the Rathbone Executive Share
Option Scheme 2000. The market value at exercise was £10.33 being the closing
mid market price on 27 March 2008. The shares allotted were registered in the
name of BNY (OCS) Nominees Limited. Following the option exercise, a share sale
took place on 31 March 2008 at £10.46. Details are set out below.
