Notification of dealing by Directors and Persons Discharging Managerial
Responsibility ('PDMR')

On 22 April 2008 the following PDMRs exercised share options over Rathbone
Brothers Plc Ordinary Shares of 5p granted under the Rathbone Employee Share
Option Schemes 1993 and 1996. The market value at exercise was £10.17 being the
closing mid market price on 21 April 2008. The shares allotted were registered
in the name of Rathbone Nominees Limited. Following the option exercise, share
sales took place on 24 April 2008 at £10.10. Details are set out below.
