Notification of a share transaction by a Person Discharging Managerial Responsibility ('PDMR')

On 22 April 2009, Lord Clifton, a PDMR, exercised an option over 7,000 Rathbone Brothers Plc Ordinary Shares of 5p at £7.325 granted under the Rathbone Employee Share Option Scheme 1996. The market value at exercise was £7.71 being the closing mid market price on 21 April 2009. The shares allotted were registered in the name of Rathbone Nominees Limited. 

These shares were sold on the same day at £7.9175. His holding therefore remains unchanged at 19,570 shares (0.045% of the issued share capital).
