Rathbone Brothers Plc ('the Company') 

Director/Person Discharging Managerial Responsibility ('PDMR') shareholding

Following the publication of guidance by the FSA on 9 January 2009 regarding transactions by PDMRs granting security over their shareholdings, the Company announces that it's banking subsidiary, Rathbone Investment Management Limited ('RIM'), has made loans to directors, PDMRs and persons connected with them. The loans have been made in the ordinary course of RIM's business as a bank and are secured against investment portfolios which in the circumstances disclosed below include Rathbone Brothers Plc shares.

1.    Mrs Carole Pomfret, the wife of director Andy Pomfret, has a loan facility of £137,840 secured on her portfolio which currently includes 33,273 Rathbone Brothers Plc shares. The current loan balance is £90,000.

2.    Mrs Juliet Smeeton, the wife of director Richard Smeeton, has a loan facility and loan balance of £198,801 secured on her portfolio which currently includes 104,500 Rathbone Brothers Plc shares.

3.    Lord Clifton, a PDMR, has a loan facility and loan balance of £127,055 secured on his portfolio which currently includes 3,500 Rathbone Brothers Plc shares.
