The Rathbone Savings Related Share Option Plan

On 29 March 2011, options over Rathbone Brothers Plc ordinary shares of 5p were granted with an exercise price of £9.34 in accordance with the rules of the H.M. Revenue and Customs approved Rathbone Savings Related Share Option Plan 2009. The price of £9.34 was the average of the closing mid-market prices (less a 20% discount) on the three dealing days prior to the invitation date of 7 March 2011.

Options were granted to the following directors and persons discharging managerial responsibility (PDMRs). Options are exercisable at the end of a three or five year savings contract commencing on 1 May 2011.
