Rathbone Brothers Plc (the "Company")  

Notification of Transactions of Persons Discharging Managerial Responsibilities

Following shareholder approval of the Directors' Remuneration Policy at the 2021 Annual General Meeting, the Company announces that the following PDMRs were granted a Restricted Share Award in accordance with the rules of the Rathbone Brothers Plc Executive Share Performance Plan for 2021.

These awards were made at a share price of £15.87, based on the average share price over five days preceding the grant date and discounted to reflect the absence of dividend equivalents over the vesting period. The award will vest on the third anniversary of the grant date and a further two-year holding period will apply. The PDMRs will not be permitted to sell shares during this time and the awards are subject to malus and clawback provisions.
