On 19 October 2005, ordinary shares of 5p were acquired at £8.41 (the closing
mid market price on 18 October 2005) by Hill Samuel ESOP Trustees Limited who
are the Trustees of The Rathbone Inland Revenue Approved Employee Share
Incentive Plan ('the Plan'). The purchase was in respect of the reinvestment of
dividends paid into the Plan. The registered holder is Lloyds TSB Registrars
Corporate Nominees Limited. A/c AESOP1.

are beneficial owners of the following shares (subject to the terms and
conditions of the Plan Trust Deed and Rules).
