NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL
RESPONSIBILITY OR CONNECTED PERSONS - CORRECTION


On 1 March 2007, announcements of a number of share purchases of Rathbone
Brothers Plc ordinary shares by PDMRs were made. These included purchases
required by an incentive scheme for investment managers. Under the rules of this
scheme, there is a requirement to use cash received, net of Income Tax and
National Insurance, to purchase Rathbone Brothers Plc ordinary shares and to
hold these shares for a minimum of one year.


Unfortunately, there was a late adjustment in the calculation of the scheme
awards resulting in small errors in the number of shares reported as follows:
