Directorate changes

Rathbone Brothers Plc, a leading provider of discretionary fund management and wealth management services for private investors and trustees, is pleased to announce the appointment of Mark Nicholls to the board on 1 December 2010 (subject to formal FSA approval) as an independent non-executive director and chairman-designate.

The current chairman, Mark Powell, has indicated his intention to retire from the board at the conclusion of the 2011 Annual General Meeting on 11 May 2011.

John May, a non-executive director, is to step down from the board on 1 December 2010 at the conclusion of a three year term.

Mark Nicholls, aged 61, is a lawyer and corporate financier. After studying law at Cambridge he qualified with Linklaters before joining SG Warburg in 1976. He became a director in 1984 and head of investment banking in 1994. In 1996 he joined Royal Bank of Scotland and in 2000 became head of their private equity group, leaving in 2003 to pursue a plural career.

Mark Nicholls is chairman of the West Bromwich Building Society and a non executive director of The Evolution Group PLC, Northern Investors Company PLC and EcoSecurities Group plc. He is Protector of the National Lottery Fair Share Fund. The Evolution Group PLC has today announced that Mark is to step down from their board on 30 November 2010.

Within the last five years, Mark has also been a director of the following publicly quoted companies:

·    The City of London Investment Trust Plc

·    Venture Production Plc

·    Alexander Forbes Limited (registered in South Africa)

No other information is required to be disclosed pursuant to Listing Rule 9.6.13.
