Disclosure of Interest in Shares


On 26 November 2002, in accordance with the provisions of Sections 198 and 202
of the Companies Act 1985, as amended, Caledonia Financial Limited gave notice
that on 22 November 2002, it sold its beneficial holding of 4,600,000 ordinary
shares representing 11.68% of the total issued ordinary share capital in
Rathbone Brothers Plc to its parent company Caledonia Investments plc.
Accordingly, Caledonia Financial Limited no longer has a notifiable interest in
these shares.
