beneficial holding of 4,562,000 Rathbone Brothers Plc ordinary shares of 5p now
represents 10.79% of the Company's total issued ordinary share capital.

By virtue of Section 203 of the Act, The Cayzer Trust Company Limited, a
substantial shareholder in Caledonia Investments plc, is also deemed to be
interested in the above mentioned shares.
