On 20 March 2012, the following directors were awarded deferred awards of Rathbone Brothers Plc ordinary shares in respect of the balance of profit share due for 2011. Shares were awarded at £12.61 being the average of the closing mid-market share price during the 20 business days prior to 20 March 2012.

Ordinarily, deferred share awards will vest on the third anniversary of the award. Vesting is not subject to the satisfaction of performance conditions but all or part of an award may lapse in certain circumstances, for example in the event of the director being considered a 'bad leaver'.
