R.E.A. Holdings plc

Formal application has been made for 122 ordinary shares of 25p each to be
admitted to the Official List of the UK Listing Authority and admitted to
trading on the London Stock Exchange.  These shares are being issued fully
paid and rank pari passu with the Company's existing ordinary shares.

The shares will be issued as consideration for the conversion of 90
preference shares to ordinary shares.

Copies of this brochure are available for inspection from the Document Viewing
Facility of the UK Listing Authority during the next two business days and
from Hoare Govett Limited up to and including 14 days from date thereof.
