R.E.A. Holdings plc (the 'company')
The company announces that it has today received notification from Emba Holdings
Limited ('EHL') that EHL has purchased 170,548 ordinary shares of the company
from Mr H M Robinow and, as a result of that purchase, is now interested in a
total of 7,203,983 ordinary shares of the company (representing 35.8 per cent of
the issued ordinary share capital of the company). The 7,203,983 shares are or
will be registered as follows:
Emba Holdings Limited 769,969
Perry Nominees Limited 6,434,014
Mr H M Robinow and members of his family together control EHL so that Mr H M
Robinow was, prior to his sale of the 170,548 ordinary shares of the company
that EHL has just purchased from him, treated for the purposes of the City Code
on Takeovers and Mergers as acting in concert with EHL in relation to interests
in the voting shares of the company. In these circumstances, EHL has advised the
company that The Panel on Takeovers and Mergers has confirmed that no offer
obligation has arisen as a result of EHL's acquisition of Mr H M Robinow's
ordinary shares in the company.
