R.E.A. Holdings plc (the 'company')
The company announces that at its extraordinary general meeting held today, the
special resolution set out in the notice of meeting included in the company's
prospectus dated 20 February 2003 (the 'prospectus') was duly passed.
As at 3.00 pm on 14 March 2003, the latest time and date for receipt of
applications for new ordinary shares pursuant to the open offer contained in the
prospectus, valid applications had been received for 2,470,185 new ordinary
shares (representing 69 per cent of the new ordinary shares that were available
for subscription pursuant to the open offer). In addition a total of 2,150,000
new ordinary shares have been placed pursuant to the placing described in the
prospectus.
It is expected that the new ordinary shares to be issued as a result of the open
offer and placing will be admitted both to the Official List of the UKLA and to
trading on the market for listed securities of the London Stock Exchange
tomorrow, 18 March 2003. It is further expected that CREST accounts in respect
of the new ordinary shares to be issued pursuant to the open offer will be
credited on 21 March 2003 and that definitive stock certificates will be
despatched on or before 25 March 2003.
Terms and expressions in this announcement shall bear the same meaning as in the
prospectus, save where the context otherwise requires.
