Notes:
1. A "vote withheld" is not a vote in law and is not counted in the calculation of the proportion of the votes "for" and "against" a resolution.
2. The issued share capital figure used to calculate the percentage voted is 299,268,697. This is the figure as at close of business on 1 May 2018 and excludes the number of ordinary shares held in treasury at that date.
3. The Directors note the proportion of votes cast against Resolution 18. As previously stated, neither the Company nor any of its subsidiaries has any intention of making any direct political donation. This resolution is proposed to ensure that neither it nor its subsidiaries inadvertently commits any breaches of the Act through the undertaking of routine activities. The Directors will consider shareholder views and will make relevant disclosures, if appropriate, in the 2018 Annual Report.
In accordance with Listing Rule 9.6.3R, a copy of the resolutions passed as Special Business at the AGM have been submitted to the National Storage Mechanism and will be available in due course for viewing at http://www.morningstar.co.uk/uk/NSM
