The Real Good Food Company plc ("the Company"), owns the largest independent non-refining distributor of sugar in Europe (Napier Brown), supplies bakery ingredients (Renshaw) and manufactures patisserie and desserts (Haydens Bakery)

The Company announces that it received notification on 27 March 2012, that on 23 March 2012, Omnicane International Investment Co Ltd ("Omnicane"), a subsidiary of Omnicane Limited, was interested in 8,434,321 ordinary shares of 2 pence each in the Company ("Ordinary Shares"), representing approximately 12.97 per cent. of the current issued share capital of the Company.

This notification is in respect of an increase in Omnicane's interest in Ordinary Shares as a result of a purchase of Ordinary Shares, which prior to the notifiable event was 1,902,008 Ordinary Shares, representing approximately 2.93 per cent. of the current issued share capital of the Company.
