Issue of Equity and Total Voting Rights

The Real Good Food Company plc ("the Group"), owns the largest independent non-refining distributor of sugar in Europe (Napier Brown) and is a supplier of dairy ingredients ("Garrett"), bakery ingredients (Renshaw) and a manufacturer of sweet bakery products (Haydens) for a range of major retail customers.

The Group announces that it has made application to AIM for the admission to trading of 5,000 new ordinary shares of 2p each, which have been issued following the exercise of warrants.

The 5,000 new ordinary shares are expected to be admitted to trading on AIM on 29 June 2011.

The issued share capital and total voting rights of the Company is now 65,019,348 ordinary shares.
