Posting of Offer Document





RGFC announces that the formal offer document in relation to the recommended
offer made by RGFC for the whole of the issued and to be issued ordinary share
capital of Napier Brown (the Offer Document) was posted to Napier Brown
Shareholders on Friday 5 August 2005, together with the Forms of Acceptance.



Forms of Acceptance should be completed, signed and returned in accordance with
the instructions set out in the Offer Document and in the Form of Acceptance so
as to be received as soon as possible, and, in any event, by not later than 1.00
p.m. (London time) on 30 August 2005.



RGFC also announces that the Prospectus convening an Extraordinary General
Meeting to approve, inter alia, the Offer was posted to RGFC Shareholders on
Friday 5 August 2005, together with Forms of Proxy.



A copy of the Offer Document and the Prospectus are available for inspection at
the offices of Numis Securities Limited, Cheapside House, 138 Cheapside, London
EC2V 6LH during normal office hours until 5 September 2005.
