Result of Annual General Meeting


The Real Good Food Company PLC ('RGFC' or the 'Company') announces that at its
Annual General Meeting today all resolutions, as set out in the Company's AGM
notice, were passed.


Further to the Company's trading statement on 27 May 2005, the Directors
reconfirm that the Group is developing well.


The Company also confirmed that, further to announcements on 20 and 22 June
2005, it continues to progress discussions with Napier Brown Foods plc with a
view to a possible all share offer for Napier Brown.
