Result of General Meeting

The Company is pleased to announce that at the General Meeting held today, the resolution to the disposal by N Brown Foods Limited (a wholly owned subsidiary of Real Good Food) of its entire interest in the issued share capital of Brighter Foods Limited on the terms set out in the sale and purchase agreement dated 22 April 2021 was duly passed.

The disposal is expected to be completed tomorrow.

The result of the poll was as follows:

Notes:

1.  Votes withheld have not been counted in the calculation of the proportion of the votes "for" and "against" resolutions.

3.  Any proxy appointments which gave discretion to the Chairman have been included in the "for" total.
