For the purposes of the Financial Services Authority's Disclosure and
Transparency Rules, the Company notifies the market of the following:



As at the date of this announcement, the Company's issued share capital
comprises the following:



65,014,348 Ordinary Shares of 1p with voting rights.



Real Good Food does not hold any shares in treasury.



Real Good Food does not have any other class of share which has voting rights.



Consequently Real Good Food's total number of voting rights is 65,014,348 and
this figure may be used by shareholders as the denominator for the calculations
by which they will determine if they are required to notify their interest in,
or a change to their interest in  Real Good Food, under the FSA's Disclosure and
Transparency Rules.
