Proposed Placing
The Board of Reconstruction Capital II Limited ('the Company') announces its
intention to raise EUR 100 million by way of a placing of new Ordinary Shares
(the 'Placing'). The anticipated closing date for receipt of subscription
documents is expected to be 6th December 2007, and application will be made for
the new Ordinary Shares to be admitted to trading on AIM. A further
announcement will be made on the pricing of the Placing once the Company
releases its net asset value per share as at 31st October 2007, which is
expected to be the 13h November 2007.
Ion Florescu, Managing Director of the Investment Adviser and Manager, said:
'The bulk of the monies raised in the first two fundraisings have now been
invested, and we are seeing a very strong deal flow, particularly on the private
equity side. As the economies in the region develop, we see a marked
improvement in the size and quality of deals we are being offered, while
competition from other private equity funds remains relatively low.
Consequently, we believe that a further round of fundraising is necessary for
the fund to take advantage of the exciting investment opportunities that lie
ahead'
There will be a pre-emptive preference for existing investors who are invited to
participate in the Placing. In the event that subscriptions need to be scaled
back, existing shareholders who are invited to participate in the Placing and
return their subscriptions by 6th December 2007 will be guaranteed to receive a
preferential allocation of at least one (1) new Ordinary Share for each one (1)
existing Ordinary Share held by them on the 29th October 2007.
The timetable for the Placing will be as follows:
Record Date for pre-emptive preference 29th October 2007
Subscription agreements sent to investors 19th November 2007
Last date for receipt of subscription agreements 6th December 2007
Allocations announced 10th December 2007
Settlement date 13th December 2007
