NOTICE TO NOTEHOLDERS; Merger of Canadian Subsidiaries

The Board of Shanks Group plc announces that one of its subsidiaries incorporated in Canada, Shanks Canada Finance Limited, has merged into another of its subsidiaries incorporated in Canada, Orgaworld Canada Limited. Orgaworld Canada Limited has assumed all the assets and liabilities of Shanks Canada Finance Limited. Orgaworld Canada Limited continues as a guarantor of the Notes and has assumed all the obligations of Shanks Canada Finance Limited in respect of its guarantee of such Notes.
