Resolution at EGM held on 23 June 2004

The resolution to approve the disposal of the UK Landfill and related power
operations to Terra Firma Investments (GP) 2 Limited placed before shareholders
at the Extraordinary General Meeting held on 23 June 2004 was passed by
shareholders.

Copy of the resolution passed by the Company has been submitted to the UKLA and
will shortly be available for inspection at the UKLA's Document Viewing
