Voting Rights and Capital Update

In conformity with the Transparency Directive's transitional provision 6, the
Company would like to notify the market that as at 31 January 2007 Shanks Group
plc's capital consists of 234,930,581 Ordinary 10 pence shares with voting
rights. This figure may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, Shanks Group plc under the FSA's
Disclosure and Transparency Rules.
