RETIREMENT OF MR H.K. WERDELIN AS A DIRECTOR OF RENTOKIL
                       INITIAL plc

Following  Rentokil Initial's offer for Ratin  A/S  being
declared  unconditional  on  30th  May  2000,   Mr   Hans
Werdelin,  a  director and the vice chairman of  Rentokil
Initial plc who represented Ratin, retired from the Board
today.
