The following prospectus has been approved by the UK Listing Authority and is available for viewing:

Supplementary Prospectus dated 23 November 2012 in respect of the €2,500,000,000 Euro Medium Term Note Programme of Rentokil Initial plc.

The Supplementary Prospectus should be read and construed in conjunction with the Prospectus dated 5 April 2012 and the Supplementary Prospectus dated 14 September 2012.

The Supplementary Prospectus approved on 23 November 2012, the Supplementary Prospectus approved on 14 September 2012 and the Prospectus effective from 5 April 2012 have each been submitted to the National Storage Mechanism and are available for inspection by searching documents relating to Rentokil Initial plc at:
