   Resignation of Mr Jan Froeshaug as a non-executive
                        director
                 of Rentokil Initial plc

Mr  Jan  Froeshaug, a non-executive director of  Rentokil
Initial plc, will be stepping down from the board at  the
AGM  on  the 31st May 2001.  Mr Froeshaug is Chairman  of
the  Danish hygiene company, Sophus Berendsen AS and,  in
view  of Rentokil Initial's increasing commitment to  the
development   of   its   hygiene  services   and   Sophus
Berendsen's recent announcement that it intended to  fund
its own future hygiene acquisitions by reducing, over  an
extended  period  of time, its shareholding  in  Rentokil
Initial,  Mr  Froeshaug believes that it is inappropriate
for him to remain a director of both companies
