               Update on approach from Raphoe Management Limited

The Board of Rentokil Initial plc ('Rentokil' or the 'Company') notes the
announcement this afternoon by Raphoe Management Limited ('Raphoe') regarding
the proposals that it intends to put to the Board of Rentokil.

The Board will consider the substance of Raphoe's announcement and respond in
due course. In the mean time, shareholders are advised to take no action.
