RTS NETWORKS GROUP PLC ('RTS NETWORKS' OR 'THE COMPANY')

RTS NetWorks announces that it has today completed the acquisition of the
entire share capital of Acces Consultants SARL ('Acces'), a senior level
internet consulting company, on the terms outlined in the prospectus dated 30
November 1999. The consideration for the acquisition was satisfied by the
allotment of 1,000,000 Ordinary Shares of 1p each in RTS NetWorks.  Mr David
Ward-Perkins, Chairman of RTS Networks, was one of the vendors of Acces and
has a beneficial holding of 500,000 Ordinary Shares following this allotment,
representing approximately 0.63 per cent. of the Company's issued share
capital.

RTS NetWorks further announces that it has issued, for cash, to Brown, Shipley
& Co. Limited 90,099 Ordinary Shares of 1p each at a price of 62.5p per share.
The Ordinary Shares were issued at the placing price in accordance with the
terms of an Agreement between the Company and Brown, Shipley & Co. Limited,
dated 30 November 1999.

Application will be made for all of the above shares to be admitted to trading
on AIM.
