Dealings by Directors and Persons Disclosing Managerial Responsibilities ('PDMRs')

The Restaurant Group plc ('the Company') announces that on 28 May 2012 Andrew Page, Chief Executive Officer of the Company, exercised 780,208 Conditional Options and 111,457 Matching Options under the Long Term Incentive Plan.  Following this exercise, on 30 May 2012 Mr Page sold 841,665 shares at 283.2p per share.  Following these transactions Mr Page increased his shareholding in The Restaurant Group plc from 631,486 shares to 681,486 shares, and his shareholding now represents 0.34% of the issued share capital.  

On 28 May 2012 Stephen Critoph, Group Finance Director of the Company, exercised 300,000 Conditional Options and 75,000 Matching Options under the Long Term Incentive Plan.  Following this exercise, on 30 May 2012 Mr Critoph sold 300,000 shares at 283.2p per share and transferred 75,000 shares to his wife.  Following these transactions Mr Critoph increased his beneficial shareholding in The Restaurant Group plc from 283,197 shares to 358,197 shares, and his shareholding now represents 0.18% of the issued share capital.  

On 28 May 2012 Trish Corzine, Executive Director, Concessions, exercised 287,500 Conditional Options and 71,874 Matching Options under the Long Term Incentive Plan.  Following this exercise, on 28 May 2012 Ms Corzine sold 308,249 shares at 281.3p per share.  Following these transactions Ms Corzine increased her beneficial shareholding in The Restaurant Group plc from 274,705 shares to 325,830 shares, and her shareholding now represents 0.16% of the issued share capital.

On 28 May 2012 Robert Morgan, a PDMR of the Company, exercised 150,000 Conditional Options and 36,457 Matching Options under the Long Term Incentive Plan.  Following this exercise, on 28 May 2012 Mr Morgan sold 176,457 shares at 281.3p per share.  Following these transactions Mr Morgan increased his beneficial shareholding in The Restaurant Group plc from 132,355 shares to 142,355 shares, and his shareholding now represents 0.07% of the issued share capital.
