GRANT OF OPTIONS

RTS NetWorks Group PLC (the 'Company') announces that on 24 July 2000, share
options in the Company were granted to Eric Rothbarth, Finance Director of the
Company.

Mr Rothbarth has been granted options over 300,000 shares.  The options will
become exercisable in five equal tranches on the first to fifth anniversaries
of the date of grant.

The exercise price of the options is 81.4 pence per share (being the average
closing mid-market price of the Company's shares for the three dealing days
prior to the grant less 20 per cent., in accordance with the rules of the RTS
NetWorks Group PLC (Unapproved) 1999 Share Option Scheme).
