                               Grant of Options



On 8 May 2001, the Board approved the grant of options to Andrew Guy, Chief
Executive of the Company, over 650,000 of the Company's shares of 25p each.
The options were granted for nil consideration and are exercisable at a price
of 44.2p, being the average middle market quotation of the Company's shares,
as derived from the Daily Official List, over the five dealing days
immediately preceding the date of grant.  The options are exercisable between
three and ten years after their being granted and are subject to various
performance criteria.
