                            Director's Shareholding



The Company was informed on 26 September 2003 that 3,572 ordinary shares of
12.5p each in the Company ("Ordinary Shares") were transferred to Peter Cavill,
a director of the Company, by the Water Lane Trustees Limited as Trustee of the
Radstone Technology PLC Employee Trust (the "Trust"). The above shares were
acquired by Mr Cavill at 280 p per Ordinary Share pursuant to the entitlement
attached to Ordinary Shares held on his behalf by the Trust to apply for shares
under the Company's recent Open Offer.


Following this transfer Mr Cavill holds 78,477 Ordinary Shares representing
0.28% of the Company's issued ordinary share capital.
