UK Share Plan ('UKSP')

The UKSP is an HMRC approved Share Incentive Plan under which qualifying UK employees are able to purchase on a quarterly basis Rio Tinto plc ordinary shares of 10p each ('Ordinary shares') out of monthly deductions from salary and are allocated an equivalent number of shares free of charge ('Matching shares').  Qualifying UK employees are also awarded Free shares once a year.  These were non-discretionary transactions.

Rio Tinto plc was notified 1 May 2013 that on 8 April 2013 the following persons discharging managerial responsibility ('PDMRs') purchased Ordinary shares and were allocated the same number of Matching shares.

Global Employee Share Plan ('GESP')

Under the GESP employees are able to purchase on a quarterly basis Rio Tinto plc ordinary shares of 10p each ('Ordinary shares') or American Depositary Receipts ('ADRs') out of monthly deductions from salary and are allocated an equivalent number of shares free of charge ('Matching shares' or 'Matching ADRs').

Rio Tinto plc was notified on 24 April 2013 that on 15 April 2013 the following PDMRs purchased Ordinary shares and were allocated the same number of Matching shares.
