TOTAL VOTING RIGHTS
In conformity with the Transparency Directive's transitional provision 6, Rio
Tinto plc is required to notify the market of the following:
The Company's issued capital, including treasury shares, consists of
1,071,771,796 Ordinary shares of 10p each. Of these, 70,357,624 shares were
held in treasury at the date of this announcement.
Therefore, the total number of voting rights in the Company is 1,001,414,172.
The above figure (1,001,414,172 Ordinary shares) may be used by shareholders as
the denominator for the calculation by which they will determine if they are
required to notify their interest in, or a change to their interest in, the
Company under the FSA's Disclosure and Transparency Rules.
