Director/PDMR shareholding

On 20 June 2012, Mikael Breuer-Weil, a Director of RIT Capital Partners plc (RIT), acquired 30,450 ordinary shares of RIT on the exercise of a vested Share Appreciation Right (SAR) over 84,786 £1 ordinary shares granted to him on 13 March 2009 under the J. Rothschild Capital Management Share Appreciation Rights Plan.

Such ordinary shares were then sold on the same date on the London Stock Exchange at 1230.73p per share.

The SAR had a notional exercise price of 796p per ordinary share and the gain delivered in shares was calculated by reference to a share price of 1238p.

No consideration was due on the exercise of the SAR.

The above notifications are made in accordance with Rule 3.1.4 of the UKLA Disclosure Rules. RIT was notified of the above transactions on 20 June 2012.
