Notice of AGM
The Company announces that its Annual General Meeting ("AGM") will be held at the offices of Hogan Lovells International LLP, Atlantic House, Holborn Viaduct, London, EC1A 2FG, United Kingdom at 2.00 p.m. (BST) on 19 May 2021.
The Board of Directors of RCOI notes the potential impact of the ongoing COVID-19 pandemic on the AGM and considers the well-being of shareholders and other AGM attendees as a priority.
Based on the latest available guidance from the UK Government, the Company expects the AGM to proceed on 19 May 2021. However, if the measures set out in the UK Government's roadmap to lifting COVID-19 restrictions in England are implemented as expected, physical attendance at the Annual General Meeting will not be possible. Accordingly, the Company expects that attendance at the AGM will be limited to the minimum necessary quorum of two shareholders present (in person or by proxy) in order to conduct the business of the meeting. All votes on the Resolutions proposed at the AGM will be held by a poll, so that all valid proxy votes on the Resolutions will be included in the voting at the meeting. The results of the meeting will be announced as soon as practicable after the conclusion of the AGM.
No person other than those persons specifically notified by the Company as being required to attend the AGM in order to form the minimum necessary quorum will be permitted to access to the AGM.
All shareholders are urged to submit proxy forms in respect of the AGM to ensure their vote is registered. Shareholders should complete and sign the proxy form accompanying the Notice of AGM in accordance with the instructions printed on the proxy form by using www.signalshares.com or appointing a proxy electronically if their shares are held in CREST. Hardcopy proxy forms should be returned to Link Group, PXS1, Central Square, 29 Wellington Street, Leeds, LS1 4DL. Please return your forms as soon as possible and, in any event, prior to 2.00 p.m. on 17 May 2021 or not less than 48 hours before the time of the meeting or any adjourned meeting.
Shareholders are strongly encouraged to appoint the chairman of the meeting as their proxy in respect of the AGM. If a shareholder appoints someone other than the chairman of the meeting as their proxy, that proxy may not be able to attend the Annual General Meeting in person or cast the shareholder's vote.
The Company will continue to monitor developments, including any regulatory changes as the situation in relation to COVID-19 continues.
