RM announces acquisition of education services company Peakschoolhaus Ltd
RM plc, the leading supplier of information and communications technology (ICT)
and educational services to the UK education market, announces the acquisition
of Peakschoolhaus Ltd, an Ofsted inspection and training provider, for a maximum
consideration of up to £2.9 million. The acquisition of Peakschoolhaus is a
further stage in RM's transition into a broadly based education services
business. Peakschoohaus will provide the Group with both a profitable and
growing business, and access to a team of highly experienced education
professionals.
RM is paying an initial consideration of £1.5 million in cash, with a further
maximum deferred consideration of £1.4 million, payable through the issue of
loan notes in three years time. The actual value of the deferred consideration
is linked to the performance of the business over the three-year period. The
target net assets for the company on completion are £50,000.
Peakschoolhaus principally provides Ofsted inspection services for primary,
secondary and special schools. Following the acquisition Peakschoolhaus will be
managed as a separate entity within the RM Group. Four of the Directors of
Peakschoolhaus have committed to remain full-time with the business for four
years to drive forward the planned expansion of both Peakschoolhaus' core
inspection business and its growing training business.

inspection contracts for the current school year.'

Notes to Editors:
1. Peakschoolhaus Ltd was incorporated on 25th November 2002, bringing
together the businesses of two already successful Ofsted inspection contractors
- Schoolhaus Ltd and Peak Education. It was specifically formed to create a
larger entity, capable of bidding for - and winning - more Ofsted inspection
contracts than the two businesses would have been able to do separately.
2. Peakschoolhaus has been awarded a contract for 270 inspections (220
primary, 37 secondary and 13 special needs) for the Ofsted school year
commencing 1st September 2003. This annual contract is expected to generate
nearly £3.5M in revenues over the period. In the school year starting 1st
September 2002 Peak Education Partnership and Schoolhaus Ltd delivered 150
inspections between them.
3. Peakschoolhaus is based in Nottinghamshire, directly employing 4 people
in addition to the 5 directors. It has access to a network of 410 inspectors
(98 of which are registered inspectors).
