                      RM plc - Directors' Dealings

RM plc has today been informed that on 15 December 2000 the following
Directors dealings in shares of the Company took place.

1. Sherry Coutu bought 3,600 2p ordinary shares at a price of 550p per share.
Her beneficial holding now stands at 7,079 2p ordinary shares, which
represents 0.008% of the issued share capital of the Company.

2. Mike Fischer and spouse sold a total of 2,000,000 2p ordinary shares at a
price of 550p per share. His beneficial holding now stands at 4,982,190 2p
ordinary shares, which represents 5.32% of the issued share capital of the
Company.

3. Michael O'Regan and spouse sold a total of 200,000 2p ordinary shares at a
price of 550p per share. His beneficial holding now stands at 3,260,000 2p
ordinary shares which represents 3.48% of the issued share capital of the
Company.

4. Tim Pearson and spouse sold a total of 4,000 2p ordinary shares at a price
of 550p per share. His beneficial holding now stands at 20,700 2p ordinary
shares which represents 0.02% of the issued share capital of the Company.
